These Terms & Conditions (“Terms”) govern your use of our website and services, including but not limited to Digital Marketing, Website Development, E-Commerce Management, Branding, SEO, Social Media Marketing, Advertising Management, Content Creation, and related consulting services.
By accessing our website or engaging our services, you agree to be bound by these Terms.
- Acceptance of Terms
By using this website or engaging Social Prachaar for any service, you acknowledge that you have read, understood, and agreed to these Terms & Conditions.
- Scope of Services
Social Prachaar provides professional services including but not limited to:
- Digital Marketing Services
- Search Engine Optimization (SEO)
- Social Media Marketing
- Paid Advertising Management
- Website Design & Development
- E-Commerce Marketplace Management
- Branding & Creative Services
- Content Marketing
- Consulting Services
The exact scope of work shall be defined in the proposal, quotation, agreement, work order, or service contract provided to the client.
- Project Commencement
No project, campaign, website development, e-commerce onboarding, advertising activity, or other service shall commence until:
- a) Required Advance Payment is Received
AND
- b) The Service Agreement, Proposal Acceptance, or Work Order is Signed and Approved
Social Prachaar reserves the right to delay commencement of services until both conditions have been fulfilled.
- Communication Policy
For transparency, record keeping, and efficient project management, all official communications shall be conducted through:
Instructions, approvals, revisions, project updates, deliverables, and service-related discussions communicated through Email or WhatsApp shall be considered valid and binding.
Social Prachaar shall not be responsible for verbal instructions provided through phone calls unless subsequently confirmed through Email or WhatsApp.
- Pricing & GST
All quotations, proposals, retainers, service charges, advertising management fees, development fees, and other charges are subject to applicable taxes.
18% GST shall be applicable on all services provided by Social Prachaar unless otherwise stated in writing.
The client agrees to pay all applicable taxes, duties, levies, and government charges in addition to the agreed service fee.
- Payment Terms
Clients agree to make payments according to the agreed payment schedule.
Unless otherwise specified:
- Advance payments must be paid before work begins.
- Remaining payments must be paid according to project milestones or agreed timelines.
- Delayed payments may result in suspension of services.
- Social Prachaar reserves the right to withhold deliverables until outstanding dues are cleared.
- No Refund Policy
All payments made to Social Prachaar are non-refundable.
This includes but is not limited to:
- Advance Payments
- Consultation Fees
- Development Charges
- Marketing Fees
- Advertising Management Fees
- Design Charges
- Marketplace Onboarding Fees
- Monthly Retainers
Once work has commenced, resources, time, planning, strategy, and professional services are allocated to the project. Therefore, no refunds shall be provided under any circumstances.
Any exception shall be solely at the discretion of Social Prachaar and must be approved in writing.
- Client Responsibilities
The client agrees to:
- Provide accurate information.
- Supply required content, images, credentials, and approvals on time.
- Review and approve deliverables promptly.
- Comply with applicable laws and regulations.
Project delays caused by client-side delays shall not be the responsibility of Social Prachaar.
- Revisions & Changes
Any revisions included within the agreed scope shall be completed according to the project terms.
Additional work, modifications, features, redesigns, or requests outside the approved scope may result in additional charges.
Such charges will be communicated and approved before execution.
- Advertising Spend
For paid advertising services:
- Advertising budgets are separate from management fees.
- Platform charges are paid directly by the client unless otherwise agreed.
- Social Prachaar does not guarantee specific sales, leads, conversions, or rankings.
Results may vary depending on market conditions, competition, audience behavior, and platform algorithms.
- Website Development & E-Commerce Projects
For website and e-commerce projects:
- Final website files, credentials, and ownership rights shall be transferred only after full payment clearance.
- Delays in content submission or approvals may extend project timelines.
- Third-party costs including hosting, domains, plugins, software licenses, and marketplace fees are not included unless specifically mentioned.
- Intellectual Property
Upon full payment of all outstanding invoices:
- Clients shall own the final approved deliverables specifically created for them.
- Social Prachaar retains ownership of proprietary methodologies, templates, frameworks, processes, and pre-existing intellectual property.
Social Prachaar reserves the right to showcase completed projects in its portfolio unless otherwise agreed in writing.
- Confidentiality
Both parties agree to maintain confidentiality regarding proprietary business information, trade secrets, marketing strategies, customer information, and sensitive project data.
This obligation shall survive termination of the service relationship.
- Limitation of Liability
Social Prachaar shall not be liable for:
- Business losses
- Revenue losses
- Loss of profits
- Platform account suspensions
- Search engine algorithm changes
- Third-party software failures
- Marketplace policy changes
- Data loss caused by third-party providers
Our total liability shall not exceed the amount paid by the client for the specific service in question.
- Service Suspension & Termination
Social Prachaar reserves the right to suspend or terminate services if:
- Payments remain overdue.
- The client breaches these Terms.
- The client engages in unlawful or unethical activities.
- Required cooperation is not provided.
No refund shall be issued upon termination.
- Force Majeure
Social Prachaar shall not be liable for delays or failure to perform due to events beyond reasonable control, including:
- Natural disasters
- Government actions
- Internet outages
- Cyber incidents
- Labor disputes
- Technical failures
- Governing Law & Jurisdiction
These Terms shall be governed by and interpreted in accordance with the laws of India.
Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Delhi, India.
- Changes to Terms
Social Prachaar reserves the right to modify these Terms & Conditions at any time without prior notice.
Updated versions shall become effective upon publication on the website.
